Crowdfunding Investment: What the JOBS Act Means for ...

Boost a Hero - Crowdfunding

Boost a Hero by Sprigster is one example of a new platform that has sprung up to help business owners raise capital through crowdfunding.

by Mark Mohler, CEO of Sprigster

Crowdfunding is the process whereby large numbers of individuals pool their resources behind a common cause or project, usually using the internet, to support efforts initiated by other people or organizations.? As of now, allowing those backers to own an interest in the project to be funded has been illegal under longstanding U.S. securities laws.? On April 5 of this year, the JOBS Act was passed to eventually make crowdfunding investment legal.? This change in the law is widely hoped to be the key in providing small business with the investment capital that has been so absent since the recession began.? In the future, franchisees will generally have the ability to solicit investment in their franchise business from friends, neighbors and total strangers alike using the internet.? However, it is not legal quite yet because the SEC is still writing the rules under which these investments can be made.

There are two separate sections in the JOBS Act that will enable crowdfunding investments and the timing of their implementation will likely be different.? What is likely to happen first will be the legalization of solicitations for private investment made through broad-based advertising.? Historically, this type of ?general solicitation? has been strictly banned for private offerings that do not comply with very costly registration requirements.? However, the JOBS Act lifts that ban in a way that will enable most companies to solicit private investment over the internet (or TV, radio or most any other method for that matter).? However, similar to current rules, the investment can only be sold to accredited investors who meet certain requirements for high income, net worth, and other requirements.? Think of it like this: you can only take investments from the same type of investors for private offerings that you could before?however, you can use modern day technologies like the internet to advertise and find those qualified investors.? These rules will likely be available somewhere around the end of the year.

The second change relates specifically to crowdfunding investment.? The JOBS Act will permit everyday Americans, regardless of net worth or investment sophistication, to invest in companies through crowdfunding.? This will allow businesses, including franchise businesses, to raise up to $1 million per year in each business.? Everyday Americans can then invest $2,000 or more in these investments each year (depending on income and net worth).? The specific rules for this new capital raising tool have not yet been written and probably will not be available until some time next year.? However, these new rules will dramatically update securities laws that were written in the 1930?s.? This should be very enabling for franchisees and franchisors alike.

Mark Mohler is the CEO of Sprigster, the dedicated crowdfunding platform for the franchise industry. Its flagship program Boost A Hero brings crowdfunding to benefit military veterans starting small businesses.

FLORHAM PARK, N.J. (AP) ? The NFL's top shutdown cornerback will likely be shut down for the season.

Darrelle Revis has a torn anterior cruciate ligament in his left knee that will require surgery, a huge blow for the New York Jets that leaves coach Rex Ryan without his best defensive player.

A somber Ryan stopped short of ruling Revis out for the season on Monday, saying he just learned of the MRI results. But Revis will have to wait two or three weeks before surgery, Ryan said, and the recovery from an ACL tear is usually six-to-nine months. So the chances of Revis returning this season appear extremely slim.

Ryan added that he will speak with Revis before the team decides whether he will be placed on injured reserve, a move that could happen as early as Tuesday.

"It's just disappointing," Ryan said. "This guy wants to win. As great a player as he is individually, he's a great teammate and just wants to win. That's why he was so excited about this year."

The 27-year-old Revis was injured in the third quarter of the Jets' 23-20 overtime victory at Miami on Sunday, falling awkwardly and grabbing his knee even before he hit the grass. It was a non-contact injury, and he covered his face with gloved hands in obvious pain. He was able to walk off the field, but was taken into the locker room on a golf cart.

"Thanks for all the support!" Revis wrote on his Twitter page on Monday night. "It's just part of the game, I'm already on my way to recover!"

Ryan suspected the injury was serious when he talked to Revis on the plane ride home. MRI results Monday morning confirmed the team's worst fears.

"It's something we have to overcome as a football team. ... We're going to lose that presence. I don't know what else to say about it," Ryan said. "I guess that's the horrible thing that came out of the game."

This was Revis' first game after missing a week with a concussion sustained in the season opener against Buffalo. He had missed only three games before this season, all in 2010.

"I know the way Darrelle is that this is a guy who's as competitive as it gets, and I don't think there's any doubt that he's going to come back strong from it," Ryan said.

The Jets will be without perhaps the NFL's top cornerback on a defense Ryan had considered his best since the coach came to New York. Kyle Wilson, the team's first-round draft pick in 2010, will step into Revis' starting role opposite Antonio Cromartie. Ellis Lankster will take Wilson's spot as the nickelback.

"I just feel like I'm going to go out there and I'm going to continue to do my job," Wilson said. "Go out there, make plays and have fun. Just play my game, that's all I can do."

Wilson, who has trained in the offseason with Revis the last two summers, will continue to talk to him and get tips and suggestions throughout the season.

"I always pick that guy's brain," Wilson said. "He's obviously pretty good."

While Wilson hasn't yet lived up to expectations, and the drop-off from Revis is great, the Jets still have two first-rounders starting at the position.

"Most teams have just one No. 1 corner, and some teams don't even have any," Ryan said. "We're fortunate that we have the best in the league in Darrelle, and a No. 1 corner in Cromartie. We're fortunate there. We drafted Kyle Wilson to basically be a No. 2 corner, and that's what he's going to play, that role, and I'm confident in Kyle."

Ryan insists he isn't panicking despite losing the three-time All-Pro cornerback.

"It never happens," he said. "We have enough to get it done here. ... We'll find a way to get this done."

Ryan also didn't rule out signing a free agent. The Jets released defensive lineman Marcus Dixon on Monday, and Ryan said the move was made in part so the team could pursue other players ? such as bringing back linebacker Bryan Thomas. Rookie wide receiver Stephen Hill has a hamstring injury that could sideline him a week, so the Jets re-signed Patrick Turner.

"It's an onus on the whole defense," linebacker Aaron Maybin said of losing Revis. "We know that we all have to step up, and on offense and special teams. It's going to be a collective effort because when you have a guy like that go down, it really does affect the whole team."

The Jets, despite their mistake-filled win at Miami, are in first place in the AFC East at 2-1, holding the tiebreaker over Buffalo. But tough home games against San Francisco and Houston are up next.

"This is a team game, and as a team, we've got to step it up," Ryan said. "I think we'll respond. ... Is it a major blow when you lose a great player like Darrelle Revis? Of course, it absolutely is. But this is a football team, and I think we showed that yesterday, too."

The injury further clouds the contract status of Revis, who reported for training camp in July despite saying he was unsure if he would because he was hoping the Jets would rework the $46 million, four-year deal he signed in 2010. He is set to earn $13.5 million during the next two years after the deal ? reached after a 36-day holdout in 2010 ? was front-loaded with $32.5 million in the first two years.

But after not getting a new deal this offseason, many thought Revis and the team would re-visit the matter after this season. If he doesn't have a new contract by training camp next summer, he could become a free agent after the 2013 season.

"Yeah, I want to be a Jet for life," Revis said in July. "If management don't see fit (to) that, then I have to move on."

NOTES: LB Calvin Pace clarified his postgame comments about Dolphins RB Reggie Bush when he said the Jets "had to put him on out." Bush injured his left knee Sunday, but should be fine. "I wasn't trying to say it as if we were trying to hurt him," Pace said Monday. "I'm sad to see him get hurt. We aren't running any kind of bounty system or anything like that, and actually, looking at the play, somebody just fell on his knee. That's all I have to say. I guess I need to say things in a different manner, and I'll do a better job of it next time." ... Through three games, the Jets have just three sacks: two by linebacker Garrett McIntyre and one by nose tackle Sione Po'uha.

Dipping into the Deep: Mission Investigates Tonga Trench

It's a familiar saying in the world of oceanography: Don't put anything over the side of the ship that you're not willing to lose.

Jenan Kharbush, a marine chemistry graduate student at the Scripps Institution of Oceanography, learned that the hard way on a recent expedition cruise to the Tonga Trench in the South Pacific when a camera and bottle collecting samples and pictures disappeared forever into the deep.

The Tonga Trench is the second-deepest trench in the world, reaching 35,700 feet (about 10,900 meters) at its deepest point. (The Mariana Trench off the coast of Guam is the deepest trench in the world, measured 35,756 feet (10,890 m) at its deepest point.)

"It's hard to get your head around that depth ? that's the same distance from sea level that planes fly," Kharbush told OurAmazingPlanet.

The mission aimed to explore the ecosystem that exists in the trench under intense pressures and at low temperatures, particularly to gain some understanding of the microbial world of the deep. [Strangest Places Where Life Is Found on Earth]

"We understand very little about microbes' role in cycling nutrients and carbon in the ocean," Kharbush said. "We are still trying to understand how microbes take stuff in and recycle it or export carbon to the deep ocean ? something that's important in today's world as carbon in the atmosphere increases."

Other people on the expedition were interested in finding out more about the physiological adaptations that microbes use to live in such a harsh environment.

Data from the deep

Unlike many oceanographic ventures, the student-scientists had just a few days to do their work. The whole trip lasted just six days ? one to cruise from Apia, Samoa, to the ocean over the trench, three to do all their research, and two to continue on to Fiji, where they disembarked the vessel Revelle. The cruise took about 40 people, half of them scientists.

Once over the trench, the science team worked around the clock to get their samples and data from the depths where the water was a frosty 34 degrees Fahrenheit (1.1 degrees Celsius) ? close to freezing. Normally, oceanographers put something on a wire and lower it down to gather water samples, but the depths of the trench made this impossible ? there's no wire 30,000 feet (9,000 m) long. So the team used a deep-sea camera with bottles attached that sunk itself to the bottom, gathered pictures and samples, then closed the bottles and released its ballast weights to rise up again.

The whole system went down three times for about 8 hours and was programmed ahead of time, Kharbush said. When the camera popped up, the scientists looked all around the ship but it was a challenge to find the small instrument in 15-foot (4.5 m) waves. The instrument has a radio transmitter, but the ship ? a giant hunk of metal ? interfered with the signal.

Fortunately, the team was able to retrieve the bottles and camera each time ? until the final sample. They had baited the bottles, hoping to get better pictures and samples of creatures in the deep. The bottles and camera never returned to the surface on the last try and probably collapsed under the pressure, Kharbush said.

?"The bottles have a limit for how long they can withstand that pressure," she said. "It's a real bummer because that last deployment would have provided the most interesting footage and samples."

All is not lost, though: The team gathered data from the other three deployments, and other science experiments were done on the ship, including one that recorded ambient sound in the deep ocean and another that brought back 5-foot (1.5 m) cores of mud from 30,000 feet.

Not a day at the beach

The cores and water samples had to immediately be stored at pressures equivalent to the deep sea, and at fridgelike temperatures to keep the microbes intact and alive to be studied.

"You can't take stuff like that back on the airplane," Kharbush said. "There's just not enough dry ice around to keep it cold, so it comes back with the ship." Once the samples return to the lab at Scripps, the team will start to poke around in the water column and sediment to see what microorganisms might be dwelling there.

Kharbush said that when she talks about the scientific voyages, her friends and family sometimes imagine a poolside margarita instead of days and nights of intense work.

"When I tell people I'm going on a cruise, they think it's a floating island and it's relaxing and fun," she said. "It still is fun, but people have no idea that we're working for 24 hours per day and it's intense."

Iran to boycott 2013 Oscar over anti-Islamic film: minister

DUBAI (Reuters) - Iran said on Monday it would boycott the 2013 Oscars to protest against the making of a crude anti-Islam video in the United States that has caused outrage throughout the Muslim world.

Despite tough censorship and the repression of leading film makers, Iranian art cinema has earned international acclaim over the past 20 years.

Asghar Farhadi's "A Separation" won the Oscar for best foreign language film in February, the first Iranian film to do so.

Culture and Islamic Guidance Minister Mohammad Hosseini said Iran would boycott the next Academy Awards "to protest against the making of a film insulting the Prophet and because of the organizers' failure to take an official position (against the film)," the Iranian Students' News Agency reported.

He also urged other Islamic countries to boycott the Oscars.

The amateurish video, made in California with private financing and posted on YouTube, portrays the Prophet Mohammad as a womanizer and a fool. It has ignited weeks of violent protests across the Muslim world in which dozens of people, including the U.S. ambassador to Libya, have been killed.

Iranian officials have demanded that the United States apologize to Muslims, saying the video is only the latest in a series of Western insults aimed at Islam. Washington has condemned the content of the film while defending the right to free speech.

"The position that Western politicians have adopted on these great insults are no different from a position of enmity," Iranian media quoted Supreme Leader Ayatollah Ali Khamenei as saying on Monday.

Reza Mirkarimi's dramatic comedy "A Cube of Sugar" had been chosen as Iran's submission for the 2013 foreign-language Oscar, Hosseini said. (Reporting by Zahra Hosseinian; Editing by Kevin Liffey)

MANILA, Philippines (AP) ? Termites, storms and neglect have damaged part of former Philippine first lady Imelda Marcos' legendary collection of shoes and other possessions left behind after she and her dictator husband were driven into U.S. exile by a 1986 popular revolt.

Hundreds of pieces of late strongman Ferdinand Marcos' clothing, including the formal native see-through barong shirts he wore during his two-decade rule, have also begun to gather mold and fray after being stored for years without protection at the presidential palace and later at Manila's National Museum, officials told The Associated Press on Sunday.

The Marcoses fled the Philippines at the climax of an army-backed "people power" revolt which became a harbinger of change in authoritarian regimes worldwide. Ferdinand Marcos died in exile in Hawaii in 1989 and his widow and children returned home years later.

They left behind staggering amounts of personal belongings, clothes and art objects at the palace, including at least 1,220 pairs of Imelda Marcos' shoes.

More than 150 cartons of clothes, dress accessories and shoes of the Marcoses were transferred to the National Museum for safekeeping two years ago after termites, humidity and mold threatened the apparel at the riverside palace. They deteriorated further at the museum after the fragile boxes were abandoned in a padlocked hall that had no facilities to protect such relics and was inundated by tropical rains last month due to a gushing leak in the ceiling, museum officials said.

Museum staffers, who were not aware the boxes contained precious mementoes from the Marcoses, opened the hall on the fourth floor of the building after noticing water pouring out from under the door. They were shocked to see Marcos' shoes and gowns when they opened the wet boxes, officials said.

Workers hurriedly moved the boxes to a dry room and some were later brought to a museum laboratory, where a small team of curators scrambled to assess the extent of the damage, a process that may take months given the huge volume of the apparel. Some items have been damaged by termites and mold beyond repair, according to museum curator Orlando Abinion, who is heading the effort.

"We're doing a conservation rescue," Abinion told the AP. "There was termite infestation and mold in past years, and these were aggravated by last month's storm."

"It's unfortunate because Imelda may have worn some of these clothes in major official events and as such have an important place in our history," he said.

AP journalists saw a badly tattered box at the museum filled with damaged and soiled leather bags and designer shoes belonging to Imelda Marcos. Termites had damaged the heel and sole of a white Pierre Cardin shoe. Other shoes were warped out of shape or badly stained.

About 100 of Ferdinand Marcos' barong shirts were squeezed tightly into another box, some still attached to plastic hangers. A white barong shirt on top, with the presidential seal emblazoned on its pocket, had reddish stains and a sleeve was nearly torn off.

Imelda Marcos, now a member of the House of Representatives, was not immediately available for comment Sunday.

Her massive shoe collection, including top U.S. and European brands, astounded the world and became a symbol of excess in the Southeast Asian nation, where many still walked barefoot out of abject poverty.

Ferdinand Marcos' successor, democracy icon Corazon Aquino, accused him of stealing billions of dollars during his 20-year rule and ordered many of his assets seized.

The clothes and shoes of the Marcoses were not among the assets allegedly stolen by them and sequestered by the government following the dictator's fall, according to Presidential Commission on Good Government official Maita Gonzaga. The government has so far recovered $2.24 billion worth of cash, bank accounts and prime real estate from the Marcoses and their cronies, she said.

After the 1986 revolt, Aquino had Imelda Marcos' shoes displayed at the presidential palace as a symbol of the former first lady's lavish lifestyle. The shoes were then removed from public view and stored in the palace basement when Aquino stepped down in 1992.

Mrs. Marcos once claimed most of her foreign-branded shoes were fake, though that has never been independently verified. But the world's fascination with her footwear, including a battery-operated pair that blinked when she danced, has ensured a hefty price tag. A 1990 U.S. charity auction of one pair donated by her fetched $10,000.

Imelda Marcos claimed many of the shoes were gifts from Filipino shoemakers in suburban Marikina city, the country's shoemaking capital. Marikina officials borrowed 800 pairs of her shoes in 2001 for a shoe museum, which has become a tourist spot.

Unapologetic about the past, Mrs. Marcos said her shoes became her best defense.

"They went into my closets looking for skeletons, but thank God, all they found were shoes, beautiful shoes," she told reporters when she inaugurated the shoe museum.

Massive flooding, however, damaged dozens of pairs of Marcos' shoes in Marikina in 2009.

About 765 pairs, including famous brands like Gucci, Charles Jourdan, Christian Dior, Ferragamo, Chanel and Prada, survived the Marikina floods. The shoes, size 8 1/2 to 9, still look remarkably new due to meticulous museum care, which includes displaying them in airtight and dust-free glass cabinets in an air-conditioned gallery, away from direct sunlight. The shoe collection draws a daily crowd of 50 to 100 Philippine and foreign tourists, who almost always leave in awe, museum manager Jane Ballesteros said.

"The first word they utter is 'Wow,' followed by the question, 'Was she able to wear all of these?'" Ballesteros said. "When I say, yes, look at the scratches on the soles, the next reaction is, 'Really?'"

"It's amusing," Ballesteros said. "Her shoes never fail to astound people years after."
